Terms of Service

Welcome to Supagain. These Terms of Service ("Terms") govern your access to and use of Supagain's services, including our website, mobile applications, and any other software or services offered by Supagain in connection with any of the above (the "Services").

These Terms also include our Privacy Policy, which is incorporated by reference into these Terms.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2.1. Account Registration

To access certain features of the Services, you may be required to register for an account. The Services are not intended for use by children under the age of 13. If you are under 13, please do not use the Services. If we learn that we have collected personal information from a child under 13, we will delete that information as quickly as possible.

2.3. Prohibited Uses

You agree not to use the Services for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Services.

You shall not (directly or indirectly): (a) use the Services for any illegal purpose; (b) attempt to gain unauthorized access to the Services or another user's account; (c) modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services; (d) remove any copyright, trademark or other proprietary rights notices contained in or on the Services; (e) use the Services for creating a product, service or software that is, directly or indirectly, competitive with the Services.

The Services and its original content, features, and functionality are owned by Supagain and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Supagain grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use. You retain all of your rights in any content that you upload, submit, store, send, or receive through the Services.

By uploading, submitting, storing, sending, or receiving content through the Services, you grant Supagain a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, create derivative works from, publish, publicly display and perform, and distribute such content for the purpose of operating and providing the Services.

Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services you consent to the collection and use of this information, including the transfer of this information to the United States, Ireland, and/or other countries for storage, processing, and use by Supagain and its affiliates.

While we strive to protect your information and privacy, we cannot guarantee the absolute security of any information that you transmit to the Services. You agree that you provide such information at your own risk.

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUPAGAIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, COURSE OF PERFORMANCE, COURSE OF DEALING, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, SUPAGAIN, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DO NOT WARRANT THAT: (a) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (b) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (c) THE SERVICES ARE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; (d) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (e) ANY CONTENT, DATA, OR INFORMATION OBTAINED THROUGH THE SERVICES, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE, RELIABLE, COMPLETE, OR TIMELY; OR (f) THE SERVICES WILL BE COMPATIBLE WITH ANY OTHER SOFTWARE, SYSTEMS, OR SERVICES.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SUPAGAIN OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Supagain is not a financial advisor, broker, or dealer. The information and content provided through the Services, including but not limited to market data, stock quotes, financial news, AI-generated analysis, community posts, and any other financial information, are provided for informational and educational purposes only and do not constitute financial, investment, tax, or legal advice.

Supagain is not responsible for any financial loss, damages, or adverse consequences resulting from your use of the Services or reliance on any information provided through the Services. You acknowledge and agree that any investment decisions, trades, or financial actions you take are made entirely at your own risk and discretion.

Supagain will not provide any financial compensation, reimbursement, or indemnification for any financial losses incurred as a result of using the Services, including but not limited to losses arising from:

• Investment decisions made based on information, data, or content available through the Services.
• AI-generated insights, predictions, analyses, or recommendations provided through the Services.
• Delays, interruptions, errors, or inaccuracies in market data or financial information.
• Actions taken based on community posts, discussions, or user-generated content on the platform.
• Technical issues, service outages, or system failures that may affect your ability to execute trades or access information.

You should always conduct your own research and consult with a qualified financial advisor before making any investment decisions. Past performance is not indicative of future results, and the value of investments can go down as well as up.

You agree to defend, indemnify, and hold harmless Supagain and its parent companies, subsidiaries, affiliates, licensees, licensors, and their respective employees, contractors, agents, officers, directors, shareholders, and successors from and against any and all claims, demands, actions, suits, damages, obligations, losses, liabilities, costs, debts, penalties, fines, settlements, and expenses (including but not limited to reasonable attorney's fees, court costs, expert witness fees, and investigation costs), resulting from or arising out of:

• Your use and access of the Services, including any data or content transmitted or received by you;
• Your violation of any term of these Terms or any applicable law, rule, or regulation;
• Your violation of any third-party right, including without limitation any intellectual property, copyright, trademark, patent, property, publicity, or privacy right;
• Any claim that your content, actions, or conduct caused damage to a third party;
• Any financial loss, injury, harm, or damage suffered by you or any third party arising from your use of the Services or reliance on any content provided through the Services;
• Any misrepresentation made by you in connection with the Services.

This indemnification obligation will survive the termination of these Terms and your use of the Services. Supagain reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of these claims.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR SOLE RISK. You voluntarily assume all risks associated with your use of the Services, including but not limited to:

• Any financial losses resulting from investment decisions, trades, or financial actions made based on information, data, AI-generated analysis, or any other content obtained through the Services;
• Any harm, injury, or damage to you, your property, your devices, or your data arising from your use of the Services;
• Any reliance on the accuracy, completeness, timeliness, or reliability of any content, data, or information provided through the Services;
• Any interaction with other users, third-party content, or external services accessed through the Services;
• Any loss of data, unauthorized access, or security breaches that may occur in connection with the Services.

You agree that Supagain shall have no liability whatsoever for any losses, damages, costs, or injuries arising from the risks described above or any other risks associated with your use of the Services.

The Services do not provide and shall not be construed as providing financial, investment, tax, legal, accounting, medical, or any other form of professional advice. All content, data, information, AI-generated analysis, predictions, recommendations, and other materials provided through the Services are for general informational and educational purposes only.

You should always seek the advice of a qualified professional before making any financial, investment, legal, tax, or other decisions. Supagain does not endorse, recommend, or guarantee any specific investments, securities, transactions, or courses of action. Any actions you take based on information obtained through the Services are taken strictly at your own risk.

Supagain is not a registered investment advisor, broker-dealer, financial analyst, financial planner, or tax advisor, and does not hold itself out as such.

The Services may contain links to third-party websites, services, or content that are not owned or controlled by Supagain. Supagain has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites, services, or content.

Supagain shall not be responsible or liable, directly or indirectly, for any damage, loss, harm, or injury caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services available on or through any third-party websites or services.

The Services may also include user-generated content, community posts, discussions, and other materials contributed by users. Supagain does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any user-generated content and shall not be liable for any losses or damages arising from your reliance on such content.

12.1. Mandatory Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. You and Supagain agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Supagain (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring individual claims in small claims court if the claims qualify.

Arbitration shall be conducted by a recognized arbitration organization under its then-applicable rules and procedures, at a location mutually agreed upon by the parties. The arbitrator's decision shall be final and binding on all parties and may be enforced in any court of competent jurisdiction.

12.2. Class Action Waiver

YOU AND SUPAGAIN AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

12.3. Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND SUPAGAIN EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

Supagain shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond Supagain's reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, civil unrest, government actions or regulations, embargoes, sanctions, labor disputes, strikes, fire, flood, earthquake, power outages, internet or telecommunications failures, cyberattacks, hardware or software failures, or any other events beyond Supagain's reasonable control. During any such event, Supagain's obligations under these Terms shall be suspended for the duration of the event.

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on the Services, and/or providing any other notice we deem appropriate.

Your continued use of the Services following the posting of any changes to the Terms constitutes acceptance of those changes. If you do not agree to the new terms, you must immediately stop using the Services. It is your responsibility to review these Terms periodically.
